These Terms and Conditions (the “Terms”) apply to your access to, and enrollment and participation in, the
Coverd Card Cash Back Rewards Program (the “Program”), which is operated by Coverd Cards Inc.
(“Coverd,” “we”, “our” or “us”).
BY PARTICIPATING IN THE PROGRAM, REGISTERING FOR A COVERD CARD (AS DEFINED
BELOW), REGISTERING A PROGRAM ACCOUNT, OR OTHERWISE ACCEPTING THESE TERMS,
YOU CONFIRM (A) YOUR ACCEPTANCE OF THESE TERMS, ALL TERMS INCORPORATED BY
REFERENCE, AND ANY CHANGES OR MODIFICATIONS INTRODUCED FROM TIME TO TIME,
AND (B) YOUR CONSENT TO THE COLLECTION, USE, AND DISCLOSURE OF YOUR PERSONAL
INFORMATION IN ACCORDANCE WITH THESE TERMS AND OUR PRIVACY POLICY
(“PRIVACY POLICY”), INCLUDING TO PROVIDE YOU WITH THE PROGRAM SERVICES.
THEREFORE, YOU SHOULD REVIEW THESE TERMS, OUR PRIVACY POLICY, AND OTHER
APPLICABLE POLICIES FREQUENTLY AND CAREFULLY TO UNDERSTAND THE TERMS AND
CONDITIONS THAT APPLY TO THE PROGRAM. IF YOU DO NOT AGREE TO THE TERMS,
PRIVACY POLICY, OR OTHER APPLICABLE POLICIES, YOU MUST STOP PARTICIPATING IN
THE PROGRAM.
You agree that the decisions of Coverd will be final on all matters relating to the Program, your Coverd
Points, Rewards, and the interpretation of these Terms.
These Terms should be read and understood in connection with all other applicable terms and conditions
as set forth in (a) the Coverd Cardholder Agreement, entered into between you, Coverd, and Issuer, as
defined in that agreement (“Cardholder Agreement”) and (b) the Coverd Terms of Use Agreement
(together, “Terms of Service”). In the event of any conflict between these Terms and the Terms of Service,
these Terms shall prevail in connection with the subject matter herein.
1) Program Overview
By opening and maintaining a Coverd payment card issued pursuant to the Cardholder Agreement (“Coverd
Card,” and such holders, “Cardholders”) in good standing, you may be automatically enrolled in the
Program. The Program is intended to reward individuals who hold Coverd Cards for making purchases.
Such rewards are presented in the form of reward points (“Coverd Points”) at the Reward Rate (as defined
below) in place at the time you make the applicable purchase. Coverd Points are redeemable for either
“Coverd Cash” or a statement credit issued to your Coverd Card (the “Reward”) as further described herein.
For avoidance of doubt, the Program is provided by Coverd. Issuer does not provide the Program, Coverd
Points, or Rewards associated with the Program. There are no membership fees associated with the
Program. “Coverd Cash” and your use thereof shall be subject to the Coverd Sweepstakes Official Rules.
2) Modifications and Termination
The Program is offered at the sole discretion of Coverd. Except as otherwise expressly prohibited or limited
by applicable laws, Coverd reserves the right in its sole discretion to change, limit, or modify the Program
(including related policies) and/or these Terms, with or without notice, even though such changes may
affect your eligibility for, or ability to access Coverd Points and/or Rewards. Coverd may, among other
things: (i) limit accrual of Coverd Points, including through caps, fees, and expirations; (ii) increase or
decrease the number of Coverd Points earned for each dollar spent on the Coverd Card while you are a
participant in the Program; (iii) increase or decrease the redemption value for each Coverd Point; (iv)change Program benefits, conditions of participation, and rules for earning, retaining, or forfeiting Coverd
Points; and (v) re-define merchant categories. Unless otherwise expressly provided, any changes or
modifications will be effective immediately upon posting the revisions to the Coverd website or application.
You waive any right you may have to receive specific notice of such changes or modifications.
Without limiting the foregoing, Coverd may terminate the Program with thirty (30) days’ advance email
notice to active Participants (as defined below) with active accounts with Coverd (using the email address
on file associated with the Participant’s account). A Participant may not redeem Coverd Points for Rewards
after the termination of the Program. Coverd may terminate the availability of the Program in any
jurisdiction on less than thirty (30) days’ notice if required to do so by applicable law.
3) Eligibility
Subject to the other terms and conditions of these Terms, the Program is open to individuals eighteen
(18) years of age or older (or at least the age of majority in such individual’s jurisdiction if higher than 18),
as of the time of enrollment, who are residents of the fifty (50) United States and District of Columbia, are
an active Cardholder in good standing, and have not previously had their participation in the Program
terminated by Coverd (“Participants”).
The Program and all related benefits (including without limitation Rewards) are void where restricted or
prohibited by law.
By accepting any Program benefits, including, without limitation, any Coverd Points or Rewards, you
acknowledge that you are responsible for determining whether you are eligible to receive them under
applicable laws, and any gift policies and incentive policies that apply to you. You must immediately notify
us if you are not eligible to receive any Program benefits at any time.
4) Automatic Enrollment
Eligible Cardholders are automatically enrolled in the Program upon executing a Cardholder Agreement.
Participants must have an online Coverd account to access certain features of the Program.
5) Termination/Cancellation
a) b) c) Termination. Your enrollment and participation in the Program will automatically terminate upon
the termination or cancellation of your Coverd Card and/or Cardholder Agreement.
Cancellation by Participant. You may cancel your enrollment and participation in the Program at
any time by cancelling your Coverd Card.
Cancellation or Suspension by Coverd. We may terminate your enrollment and participation in the
Program at any time with immediate effect and without written notice, for any reason and in our
sole discretion including, without limitation, if we believe you have:
● Acted in a manner inconsistent with applicable laws, regulations, or ordinances;
● Acted in an inappropriate, fraudulent, abusive, or hostile manner;
● Breached or violated any of these Terms or our Terms of Service; ord) ● Engaged in any misconduct or wrongdoing in connection with the Program.
(collectively, the foregoing events, “Participant’s Fault Event”)
Subject to applicable law, your enrollment and participation in the Program will terminate
automatically if you file for bankruptcy or otherwise become subject to a bankruptcy proceeding.
Our cancellation of your Program enrollment and participation will not limit our rights to exercise
any other legal or equitable rights or remedies.
If we suspect, in our sole discretion, you’ve engaged in misuse or fraudulent activity related to your
Coverd Card, the Program, or another Participant’s Fault Event, we may, in addition to any other
remedies available to us pursuant to these Terms or applicable law: (i) temporarily prohibit you
from earning Coverd Points and/or redeeming Coverd Points for Rewards; (ii) revoke or void any
Coverd Points you’ve already earned; and (iii) to the extent possible, revoke any Coverd Cash or
statement credit Rewards already redeemed but not yet used.
Effect of Termination/Cancellation. If Coverd terminates/cancels a Participant’s enrollment and
participation in the Program for any reason, the Participant may not reapply for enrollment and
participation in the Program except in very limited circumstances at Coverd’s sole discretion, and
any Coverd Points, Rewards (if possible) and other related benefits earned during such
unauthorized enrollment or participation in the Participant’s name will be forfeited and, if
applicable, revoked and void upon discovery.
Upon any termination or cancellation of your enrollment and participation in the Program, you shall
immediately cease earning any Coverd Points and any of your Coverd Points that have not been
redeemed prior to such termination or cancellation shall be forfeited and void, unless otherwise
prohibited by applicable law. The Program, Coverd Points, and other related benefits are Coverd’s
sole property and are not the property of Participants. Coverd Points and other related benefits and
services have no cash value and Coverd will not compensate or pay cash for any forfeited or void
Coverd Points.
If a Participant terminates its participation in the Program, the Participant may rejoin the Program
at a later date, but no Coverd Points or other related benefits and services previously forfeited or
voided will be reinstated.
6) Earning Coverd Points.
Subject to these Terms, you can earn Coverd Points during your enrollment in the Program (“Enrollment
Period”) by making certain Qualifying Purchases. “Qualifying Purchases” means any purchase completed
by a Participant using their Coverd Card during the Enrollment Period, subject to the following sentence,
excluding all returns, refunds, cancellations, and chargebacks. Qualifying Purchases shall exclude
purchases for gift cards; cash, cash equivalents, and stored-value products (including money orders,
traveler's checks, cashier's checks, prepaid card loads, and transit or stored-value account reloads); ATM
withdrawals, cash advances, and over-the-counter cash disbursements; wire transfers, money transmission,
and remittance services; person-to-person transfers (including Venmo, Cash App, Zelle, and PayPal "send
money" transactions); cryptocurrency, digital asset, NFT, and on-/off-ramp purchases; foreign currency
purchases; securities, brokerage, investment, and retirement account funding; gambling, lottery, casino,
sportsbook, and daily fantasy transactions; tax payments to any federal, state, local, or foreign tax authority;
loan payments, debt repayment, balance transfers, and convenience checks; rent and tuition payments
processed through third-party billing platforms; charitable donations; fees, interest, and other charges
assessed on the Coverd Card account; transactions that are subsequently returned, refunded, reversed,charged back, or otherwise disputed; transactions identified by Coverd or Rain as fraudulent, unauthorized,
or otherwise ineligible; and any transaction in which the cardholder, directly or indirectly, has a beneficial
interest in the merchant or counterparty.The number of Coverd Points earned by a Participant for a
Qualifying Purchase depends on the applicable spending category of the merchant and the rewards rate in
effect at the time the Qualifying Purchase is authorized by the merchant (“Rewards Rate”). To find the
applicable Reward Rate, see www.coverd.us/rewards. The Reward Rate may change multiple times per day
at different times each day for each applicable spending category. It is your responsibility to check the
Reward Rate prior to making any purchase in order to confirm the then-current Reward Rate. Coverd is not
responsible and shall have no liability for any changes to the Reward Rate between the time you consulted
the Reward Rate page and the time the Qualifying Purchase was authorized. All determinations regarding
the timing of a Qualifying Purchase authorization for purposes of determining the Reward Rate are at the
sole discretion of Coverd.
Merchants are grouped into a spending category based on merchant code assigned by the applicable card
network and/or the merchant’s payment processor based on the types of products and services they
primarily sell. A merchant or its products and services may appear to fit within a certain spending category
but may not be categorized as such based on their merchant code. In such case, purchases with such
merchants won’t qualify for such categories’ Reward Rate.
Purchases made through third-party payment accounts, using mobile or wireless card readers, using online
or mobile digital wallets, or similar technology may not qualify for Coverd Points at a Reward Rate above
0.25% if such technology is not set up to identify and communicate to us information needed to determine
if a purchase is eligible for a certain spending category.
Coverd reserves the right to retroactively deduct Coverd Points and Rewards (if possible) in the event of
any cancellations, returns, refunds, or chargebacks, or in the event of a Participant’s Fault Event. Such
amounts will be deducted or offset from Coverd Points you earned or earn in the future. As a result, you
may see a negative Coverd Points balance appearing in your Coverd account for one or two billing cycles
following such event.
7) Limitations on Rewards Points Earned.
In any one Covered Card statement period, you may not earn a total amount of Coverd Points that is greater
than the total dollar amount of Qualifying Purchases reflected in the prior statement, based on a 1 Coverd
Point to 1 USD conversion ratio (the “Rewards Cap”); provided, that in no event shall the Rewards Cap be
less than 500 Coverd Points. The foregoing conversion rate is in no way implying Rewards Points have
cash value; such conversion rate is solely provided to calculate a Rewards Cap.
8) Redeeming Coverd Points; Expiration of Coverd Points.
Subject to these Terms, you may redeem Coverd Points once they are marked as “Earned” in your Coverd
account (“Earned”). If your Coverd Card is cancelled or terminated prior to the redemption of your Coverd
Points, you forfeit any right, title, and interest you may otherwise have in those Coverd Points.
9) Coverd Points Miscalculations.
It is your responsibility to ensure that earned Coverd Points are properly calculated and credited in
accordance with these Terms. Please be aware that it may take one to two (1-2) weeks after a Qualifying
Purchase for Coverd Points to be deemed Earned. Such pending Coverd Points may be viewed within a few
days of the Qualifying Purchase within your Coverd account.If you think you were eligible for a Coverd Point that was not properly credited to you, you must send a
claim to Coverd for improperly credited Coverd Points within sixty (60) days after the date upon which the
credit was applied, or the date such crediting was supposed to have occurred but did not. We may require
that you submit documentary evidence to support your claim that is satisfactory to us. If you do not file
your claim with Coverd within sixty (60) days, Coverd Points earned will be deemed accurate and you will
have waived any claim for adjustment. We reserve the right (but are not required) to correct inaccurate
Coverd Points, and to adjust Coverd Points at our sole discretion. If we do not credit, or improperly deny,
a claim to Coverd Points or Rewards redemption to which you were otherwise entitled, then your exclusive
remedy will be the issuance of the improperly denied Coverd Points or Rewards, respectively, if available,
or such other alternative benefit as we in our sole discretion may determine.
10) Additional Coverd Points & Rewards Terms.
You may view a record of your Coverd Points through your Coverd account. Coverd Points will not be
deemed Earned and eligible for redemption until your Qualifying Purchase has settled and any other
applicable qualifications are met. Timing of settlement depends on the Issuer. Coverd reserves the right to
delay the issuance of Coverd Points and/or redemption for Rewards based on Coverd’s suspicion or
detection of fraud with your Coverd Card or in connection with your participation in the Program, or any
anomaly with your Coverd Card or in connection with your participation in the Program.
Errors regarding Coverd Points calculations may occur and we reserve the right to correct such errors at
any time, even if it affects balances shown in your Coverd account.
Coverd Points earned under the Program are promotional in nature. Coverd Points have no cash value and
you have no rights, entitlement, or other vested legal interest in any Coverd Points. Use of the word “earn”
or similar marketing does not infer that any Coverd Points have any value until a redemption is made and
Rewards are disbursed. All Coverd Points expire and are deemed forfeited one (1) year after they are
Earned.
Coverd Points are not assignable or transferable and cannot be redeemed for cash or any cash equivalent
except as permitted under these Terms and as required by law. Participants may not barter or sell Coverd
Points. Coverd Points may not be purchased for cash.
You are solely responsible for any taxes relating to your participation in the Program, including your receipt
of any Coverd Points and Rewards.
11) Disclaimers; Releases.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, COVERD, COVERD INC., ITS
AFFILIATES, MARKETING AGENCIES, AND ANY OTHER PARTY INVOLVED IN THE
ADMINISTRATION OF THE PROGRAM, INCLUDING SUCH PARTIES’ OFFICERS, DIRECTORS,
EMPLOYEES, AND AGENTS (COLLECTIVELY, THE “COVERD PARTIES”) DISCLAIM ALL
GUARANTEES AND/OR WARRANTIES, EXPRESSED OR IMPLIED WITH RESPECT TO THE
PROGRAM, COVERD POINTS, AND REWARDS, INCLUDING WITHOUT LIMITATION ANY
IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE,
TITLE, AND NONINFRINGEMENT.
To the fullest extent permitted by applicable law, the Coverd Parties do not assume any liability or
responsibility for, and by enrolling in the Program, you hereby waive and release the Coverd Parties from,
any actions, claims, damages, losses, or injuries of any kind (collectively “Claims”) arising in connectionwith the Program and/or the receipt, use, or misuse of any Coverd Points or Rewards, including without
limitation, Claims relating to: (i) the malfunction of any computer, telephone, mobile device, network,
satellite, hardware, software, or communications line; (ii) unauthorized human intervention; (iii) incorrect,
delayed, or inaccurate transmission of, or notifications regarding, your Coverd Points and Rewards claims
or other information or communications relating to the Program, or the failure to capture or transmit any
such information; (iv) damage to any person’s computer or mobile device; or (v) any errors in these Terms
or other announcements or communications relating to the Program.
For California Residents Only: You hereby waive California Civil Code Section 1542, which states, “A
general release does not extend to claims that the creditor or releasing party does not know or suspect
to exist in their favor at the time of executing the release and that, if known by them, would have
materially affected the settlement with the debtor or released party.”
12) Miscellaneous.
All issues and questions concerning the construction, validity, interpretation, and enforceability of these
Terms shall be governed by, and construed in accordance with, the laws of the State of Delaware, without
giving effect to any choice of law or conflict of law rules.
PLEASE NOTE THAT THE COVERD TERMS OF USE AGREEMENT CONTAINS PROVISIONS
GOVERNING HOW DISPUTES THAT YOU AND WE HAVE AGAINST EACH OTHER ARE
RESOLVED. IN PARTICULAR, IT CONTAINS AN INFORMAL DISPUTE RESOLUTION PROCESS
AND ARBITRATION AGREEMENT WHICH WILL, WITH LIMITED EXCEPTIONS, REQUIRE
DISPUTES BETWEEN US TO BE SUBMITTED TO BINDING AND FINAL ARBITRATION. YOU
HEREBY AGREE TO THE TERMS OF SUCH ARBITRATION AGREEMENT, UNLESS YOU OPT
OUT OF THE ARBITRATION AGREEMENT IN ACCORDANCE WITH SECTION 19.14 (OPTION
AND PROCEDURE TO OPT OUT OF ARBITRATION) OF THE COVERD TERMS OF USE
AGREEMENT.
With the exception of any matters subject to arbitration as described above, the state and federal courts
located in the State of Delaware will serve as the venue for any actions brought, or claims made, arising out
of, or relating to the Program.
Coverd’s failure to enforce any term or condition of these Terms shall not constitute a waiver of that or any
other provision. If any provision of these Terms is held to be invalid or unenforceable, such provision shall
be struck, and the remaining provisions shall be enforced.
We may freely assign any of our rights and obligations under these Terms to a third party.
13) Privacy Policy.
Any personally identifiable information collected during your participation in the Program will be collected
and used by Coverd and its designees for the administration and fulfillment of the Program and as otherwise
described in these Terms, the Terms of Service, and the Privacy Policy.
14) Communication.
We may send communications about the Program to you at any mailing or email address in our records or
through your Coverd account. You are responsible for and must provide us with any changes to your contact
